Terms of Service

1. Acceptance of Terms
By engaging Lineard for software engineering services, you agree to be bound by these Terms of Service. These terms apply to all services provided by Lineard, including but not limited to payment integrations, backend systems development, and automation services.
2. Description of Services
Lineard provides software engineering services including payment gateway integrations (Paystack, Stripe, mobile money, bank APIs), backend system development, API design, database architecture, automation services, and related technical consulting. All services are provided on a project or retainer basis as agreed upon in individual service agreements.
3. Service Agreements
Each project will be governed by a separate service agreement that specifies:
- Scope of work and deliverables
- Timeline and milestones
- Pricing and payment terms
- Intellectual property rights
- Support and maintenance terms
These Terms of Service supplement, but do not replace, individual service agreements. In case of conflict, the service agreement takes precedence.
4. Client Responsibilities
Clients are responsible for:
- Providing accurate requirements and necessary information in a timely manner
- Granting necessary access to systems, APIs, and documentation
- Reviewing and approving deliverables according to agreed timelines
- Making payments according to agreed terms
- Ensuring compliance with applicable laws and regulations for their industry
- Maintaining appropriate security measures for their systems
5. Payment Terms
Payment terms will be specified in individual service agreements. Generally, we require payment according to agreed milestones or schedules. Late payments may result in suspension of services. All fees are non-refundable unless otherwise specified in the service agreement. Clients are responsible for any applicable taxes.
6. Intellectual Property
Unless otherwise specified in a service agreement:
- Custom code and deliverables created specifically for the client become the client's property upon full payment
- Lineard retains rights to general methodologies, frameworks, and reusable components
- Third-party libraries and tools remain subject to their respective licenses
- Lineard may use anonymized project work for portfolio and marketing purposes with client consent
7. Confidentiality
Lineard will maintain confidentiality of client information, business data, and proprietary systems. We will not disclose confidential information to third parties except as required by law or with explicit client consent. This obligation continues after project completion.
8. Security and Compliance
Lineard follows industry best practices for security and data protection. However, clients are ultimately responsible for compliance with applicable regulations (PCI DSS, GDPR, etc.) for their specific use case. We recommend clients consult with legal and compliance experts for their industry requirements.
9. Warranties and Disclaimers
Lineard warrants that services will be performed in a professional manner consistent with industry standards. However:
- We do not guarantee that services will be error-free or uninterrupted
- Third-party services (payment gateways, APIs) are subject to their own terms and availability
- We are not responsible for client's business decisions or outcomes
- Services are provided "as is" within the scope of the service agreement
10. Limitation of Liability
To the maximum extent permitted by law, Lineard's liability is limited to the total fees paid for the specific service giving rise to the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption.
11. Support and Maintenance
Support and maintenance terms will be specified in individual service agreements. Post-launch support may be available on a retainer or hourly basis. Bug fixes related to our work are typically covered for a specified period after delivery, subject to the service agreement terms.
12. Termination
Either party may terminate a service agreement with written notice as specified in the agreement. Upon termination, clients are responsible for payment for work completed up to the termination date. Lineard will provide reasonable assistance for transition, subject to payment of outstanding fees.
13. Indemnification
Clients agree to indemnify Lineard against claims arising from their use of delivered services, violation of third-party rights, or non-compliance with applicable laws, except to the extent such claims result from Lineard's gross negligence or willful misconduct.
14. Governing Law
These Terms shall be governed by the laws of Kenya. Any disputes shall be resolved through good faith negotiation, and if necessary, through binding arbitration or the courts of Kenya.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Existing service agreements will continue under the terms in effect at the time of agreement. New agreements will use the current terms.
